Terms of Service

Welcome to the Runna Media Client Portal. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Runna Media Client Portal ("Portal"), you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Portal.

2. Description of Services

The Portal provides clients of Runna Media with:

• Access to project status and progress updates
• Viewing and managing invoices
• Downloading project deliverables via Google Drive links
• Submitting project requests and support tickets
• Communication with the Runna Media team

3. Account Registration and Security

3.1 Invitation-Only Access

Access to the Portal is by invitation only. You may only create an account if you have received a valid invitation link from Runna Media.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete.

4. Acceptable Use

When using the Portal, you agree NOT to:

• Share your account credentials with unauthorized third parties
• Attempt to gain unauthorized access to other accounts or systems
• Use the Portal for any illegal or unauthorized purpose
• Interfere with or disrupt the Portal's functionality
• Upload malicious code, viruses, or harmful content
• Violate any applicable laws or regulations

5. Intellectual Property

5.1 Runna Media Content

The Portal, including its design, features, and content, is owned by Runna Media and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

5.2 Client Deliverables

Ownership and usage rights for project deliverables are governed by your separate service agreement with Runna Media. The Portal is merely a delivery mechanism and does not modify any intellectual property rights established in your service agreement.

6. Third-Party Services

The Portal integrates with third-party services including:

• Google Drive: For file storage and delivery
• QuickBooks: For invoice management
• Supabase: For authentication and data storage

Your use of these services is also subject to their respective terms of service and privacy policies.

7. Payment Terms

Invoice payment terms, due dates, and accepted payment methods are specified on each invoice. Late payments may result in service interruptions or additional fees as outlined in your service agreement.

8. Limitation of Liability

To the maximum extent permitted by law:

• The Portal is provided "as is" without warranties of any kind
• Runna Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim

9. Indemnification

You agree to indemnify and hold harmless Runna Media, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Portal or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Portal at any time for:

• Violation of these Terms
• Non-payment of invoices
• Completion or termination of your service agreement
• Any other reason at our sole discretion

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Portal and updating the "Last updated" date. Your continued use of the Portal after such changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Portal shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
